MarketMan Referral Program Terms & Conditions

Effective for Qualified Referrals submitted on or after September 1, 2023

These Terms and Conditions (the “Terms”) apply to MarketMan’s Referral Program (the “Program”). By submitting a referral for a restaurant or otherwise participating in the Program, you agree to be bound by these Terms and MarketMan’s Privacy Statement.

Program Eligibility

Who is Eligible to Participate?

MarketMan employees, consultants, investors, and friends who refer a restaurant to MarketMan on our referral form or in writing, including by email, to a MarketMan Account Executive or Customer Success Manager may be eligible to receive a $250 bonus payout. Active employees of an existing MarketMan account who refer a restaurant to MarketMan for our services may be eligible to receive a $250 bonus payout.

Who is Not Eligible to Participate?

• Employees of MarketMan technical integration and strategic partners with existing referral programs, including immediate family and household members;
• MarketMan employees within the Sales organization, including immediate family and household members;
• Employees of an authorized MarketMan reseller, including immediate family and household members;
• Restaurant owners, operators, or decision-makers responsible for making the POS purchasing decision referring their own restaurants;
• Franchisors responsible for making the POS purchasing decision referring their own franchisees; and
• Individuals who are under 18 years old.

Referral Requirements

Subject to these Terms, for each “Qualified Referral” that meets the following criteria, you will receive the applicable Bonus Payout listed below. A “Qualified Referral” is a restaurant that:

• You refer to MarketMan either through the online referral form or in writing, including by email to a MarketMan Account Executive;
• is not an existing lead in the MarketMan system; and
• enters into a Merchant Agreement & Initial Order Form with MarketMan for our services, and has been live, on the MarketMan platform for at least seven days.

Verbal referrals will not be accepted.

MarketMan reserves the right, in its sole discretion, to determine the original lead source. Exceptions may be made, in MarketMan’s sole discretion, if the referral has not been contacted by MarketMan for at least six (6) months.

Bonus Payouts

Referrers may be eligible to receive a bonus payout for a Qualified Referral as set forth herein (the ”Bonus Payout”). MarketMan employees, consultants, investors, and friends may be eligible to receive a bonus payout of $250 for each Qualified Referral. Active employees of an existing MarketMan customer may be eligible to receive a bonus payout of $250 for each Qualified Referral.

The Bonus Payout for a restaurant brand or group will be as follows. A restaurant brand or group is defined as either a franchise group or corporate entity and its affiliates (each “Restaurant Group”). For the first location in a Restaurant Group, the referrer may be eligible to receive the full Bonus Payout as set forth above ($250). For the second through the fifth locations in a Restaurant Group, the referrer may be eligible to receive a Bonus Payout of $(500) total. For the sixth through the fifteenth location in a Restaurant Group, the referrer may be eligible to receive a Bonus Payout of $1,000 total. For illustrative purposes only, if an active employee of a MarketMan customer submits Qualified Referrals for four locations in a restaurant group, the total Bonus Payout amount would be $750.

MarketMan will determine, in its sole discretion, whether a referral is a Qualified Referral eligible for a bonus payout and reserve the right to disqualify any referrer at any time for any reason from participation in the Program for reasons including but not limited to MarketMan’s good faith belief that referrer has violated these terms. Subject to the terms herein, there is no limit to the number of referrals an individual can submit, or eligible bonus payouts for Qualified Referrals an individual may receive, while the Program is in effect. Each Bonus Payout will be made by direct deposit. Referrers must enroll in the MarketMan Referral Program Portal ( MarketMan Referral Rock Enrollment)

in order to receive the Bonus Payout and timely payment of the Bonus Payout is dependent on timely enrollment in the Referral Rock Platform.

If a referrer does not enroll in the Referral Rock Portal and provide the information needed to receive a Bonus Payout (or supplemental Bonus as described below) within (6) months after submitting a Qualified Referral, the referrer shall not receive a Bonus Payout for that Qualified Referral.

Limited Time Offers

With respect to each Qualified Referral submitted between July 23, 2024, and August 31, 2024, customers are eligible for a supplemental bonus payout of $750 ($1000 per Qualified Referral as defined above), in addition to the Bonus Payout as set forth above for each Qualified Referral. To receive this supplemental Bonus, each Qualified Referral must enter into a Merchant Agreement Initial Order Form with MarketMan, and go live, using the MarketMan platform for at least seven days on or before September 7, 2024.

Modifications

MarketMan reserves the right to modify these Terms or terminate the Program at any time, in its sole discretion, without notice.
